Terms of Service

The agreement between NZP Optimal Health Ltd and you as a user of MSK Insight.

These terms were generated as a template and have not been reviewed by legal counsel. We recommend independent legal review before relying on this document.

1. Parties and governing law

These Terms of Service ("Terms") form a binding agreement between NZP Optimal Health Ltd ("MSK Insight", "we", "us"), a company registered in the Republic of Cyprus with its registered office in Limassol, Cyprus, and the individual or entity agreeing to these Terms ("Customer", "you"). These Terms are governed by the laws of the Republic of Cyprus, and the courts of Limassol have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

2. The service

MSK Insight provides two products covered by these Terms:

  • Clinical Platform — a SaaS application for licensed clinicians to record musculoskeletal assessments, generate reports, and manage patients.
  • Symptom Checker — a patient-facing self-assessment widget that can be embedded on a clinic's website or hosted at a clinic subdomain.

3. Accounts and acceptable use

  • Each clinician must have their own named login. Shared accounts are prohibited.
  • Clinic administrators (role: clinic_admin) may invite, delegate and revoke access for clinicians within their organisation.
  • You are responsible for keeping credentials confidential and for all activity under your account.
  • You must not attempt to reverse-engineer the service, probe it for vulnerabilities without authorisation, or use it to process data you are not lawfully entitled to process.

4. Payment, renewal and refunds

  • Subscriptions are billed monthly or annually in advance via Stripe. Prices are displayed on the pricing page and quoted excluding VAT where applicable.
  • Subscriptions auto-renew at the end of each billing term unless cancelled at least 24 hours before renewal.
  • Refunds are available within 14 days of an annual renewal on a pro-rata basis for unused months. Monthly plans are non-refundable once the current month has begun.
  • Late payment may result in suspension of the service after 14 days' written notice.

5. Customer Data vs Usage Data

Customer Data means the clinical, clinic, and patient data you upload or generate through the service. You (or the clinic on whose behalf you act) retain all rights to Customer Data and are the data controller for it under GDPR.

Usage Data means aggregated, de-identified information about how the service is used (performance metrics, feature adoption, anonymised event counts). You grant us a perpetual, royalty-free licence to use Usage Data to operate and improve the service. Usage Data never includes identifiable patient information.

6. Data portability and deletion on termination

  • At any time during the subscription you can export Customer Data in machine-readable format via the GDPR export endpoint: /api/patients/:id/gdpr/export (per-patient) and the clinic-level bulk export in the admin dashboard.
  • On termination we retain Customer Data for 30 days to allow export, then permanently delete it from production systems. Encrypted backups are overwritten on a rolling 35-day cycle.
  • A clinic may request immediate deletion instead of the 30-day grace period by writing to info@mskinsight.com.

7. Medical disclaimer

MSK Insight is a clinical decision support tool. It does not provide medical diagnoses, and the output of the Symptom Checker and Clinical Platform is not a substitute for professional clinical judgement. All clinical decisions — including diagnosis, treatment, referral and discharge — remain the sole responsibility of the treating clinician. The Symptom Checker is positioned to patients as an educational triage aid, not a diagnostic instrument.

8. Multi-clinic and multi-location

A subscription covers a single clinic location. Additional locations under the same legal entity may be added for +€79/month per additional location. Clinics operated by different legal entities require separate subscriptions.

9. Service level

We use commercially reasonable efforts to keep the service available 24/7, minus scheduled maintenance windows announced at least 48 hours in advance. We do not currently commit to a specific uptime percentage; a formal SLA will be offered to enterprise customers as part of bespoke agreements.

10. Limitation of liability

  • To the maximum extent permitted by law, the service is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Our aggregate liability for all claims arising out of or related to these Terms is capped at the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
  • We are not liable for clinical decisions made on the basis of the service, nor for indirect, incidental, consequential or punitive damages, nor for loss of profits, revenue, goodwill or data.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless NZP Optimal Health Ltd against any third-party claim arising from (a) your violation of these Terms, (b) Customer Data that infringes the rights of a third party, or (c) clinical decisions made using the service. We will indemnify you against any third-party claim that the service as provided by us infringes that third party's intellectual-property rights, subject to prompt notice and reasonable cooperation.

12. Suspension and termination

We may suspend or terminate access, with reasonable prior notice where practical, if:

  • Fees remain unpaid 14 days after written reminder.
  • We reasonably believe the account is being used to violate law, infringe rights, or compromise the security of the service or other users.
  • Required to do so by law or by a competent authority.

You may terminate your subscription at any time from the billing portal; termination takes effect at the end of the current billing term.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to the billing email on file at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
